Minimul B2B Terms of Service

Welcome to Minimul’s B2B initiative. By engaging in business with us, you agree to the following terms and conditions:

1. Copyright and Design Responsibility

• Minimul will not be held liable for any copyright infringement claims arising from the designs provided by the seller. The responsibility for ensuring that designs are original and do not violate any intellectual property rights lies solely with the seller.

2. Attribution of Designs

• The designs produced by Minimul for the seller's business are solely the property of the seller. These cannot be marketed, labelled, or advertised as Minimul’s designs. Minimul serves only as a sourcing and production partner.

3. Design and Consultation Scope

• Minimul does not provide consultation services for business planning or design creation. We strictly offer fabric sourcing and production services based on the seller's provided designs.

4. Originality of Designs

• Minimul will not produce or source designs that are part of Minimul’s retail inventory, as these are proprietary. All designs submitted for production must belong to the seller and be free of conflicts with Minimul’s original collections.

5. Fabric Purchase Policy

• Fabric purchases are non-exchangeable once finalised. However, in cases of damage or discrepancies, exchanges are allowed within 48 hours of delivery upon proper verification.

6. GST and Payment Compliance

• For GST-registered entities, failure to file GST returns will result in the withholding of pending samples, fabric, production, or the next cycle of production.

7. Production Guidelines

• Single-piece customizations are not entertained. Production will adhere strictly to the size chart provided by the seller.

8. Vendor and Market Visits

• Market visits for fabric sourcing or production vendor meetings are not facilitated as part of our services.

9. Payment Terms

• Orders for fabric and production services will only be accepted after 50% advance payment. Dispatch of completed orders will be subject to the settlement of the remaining 50% payment.
